Reseller Minimum Terms and Conditions

I. Definitions: For purposes of these Minimum Terms and Conditions, these definitions apply:

“Customer” y “you” refers to the end customer.

“Equipment” refers to the end user equipment required to use the Service.

“Reseller” refers to the reseller of Mission Telecom services. In other words, Reseller is the entity entering into this Agreement with you.

“Mission Telecom” means Instructional Telecommunications Foundation, Inc. d/b/a Mission Telecom.

“Provider” means T-Mobile and any other underlying provider of the Service.

“TOS” means Reseller’s end user customer agreement that contains these minimum terms and conditions in accordance with this Reseller Agreement.

“Service” refers to the wireless broadband service or voice service resold by Mission Telecom, including associated media, equipment, and printed or electronic documentation.

II. Hardware Requirements; Activation of Service: You must buy all necessary equipment to access the Service from Reseller.

III. Use of Service.
a. License and Use. By accepting this TOS, you are granted a license to access and use the Service for your internal, personal, non-commercial use. Customer is responsible for any usage of its account and agrees to notify Reseller immediately of any unauthorized use of its account or suspected security breach. You will be assigned a new IP address each time you access the Service. Customer is not granted any rights to any firmware or software under this TOS. All rights not expressly granted in this TOS are reserved by Mission Telecom and the Provider.

b. Limitations.
1. The Service is not available in all locations, and you will only be able to access the Service when within the operating range of the Provider network, which may change from time to time in the sole discretion of the Provider. The underlying technology used to provide the third-party’s wireless broadband service may change from time to time, which may cause changes to the Service. You understand that the Service may be unavailable from time to time due to maintenance of the Service, emergencies, or other factors, access to the Service may be interrupted or refused, and performance of the Service may be limited or curtailed from time to time. The Service and Equipment may not function in the event of a power failure or disruption, and you may be required to reset or reconfigure your modem or other hardware in order to use the Service thereafter. YOU ACKNOWLEDGE THAT NEITHER RESELLER NOR MISSION TELECOM OWNS, OPERATES, MAINTAINS, OR CONTROLS THE SERVICE AND RESELLER AND MISSION TELECOM HAVE NO LIABILITY WITH REGARD TO ANY FAILURE OR LACK OF PERFORMANCE OF THE SERVICE.
2. Your use of the service is subject to all applicable laws and regulations and you must comply with all applicable laws and regulations in the use of the Service.
3. Your use of the Service also is subject to the Mission Telecom Acceptable Use Policy currently located at www.missiontelecom.org/legal (as it may be changed from time to time, “MT-AUP”), which is incorporated into this Agreement by this reference, and all users of the Service must comply with the MT-AUP at all times in their use of the Service. Please review the sections below on “Content and Security” and “Service Quality and Maintenance” for further information. You may not resell access or use of the Service to any third-party.
4. Your use of the Service is subject to most of the Provider’s Terms and Conditions, as they may be modified from time to time, a copy of which is available on the T-Mobile website (currently located at https://www.t-mobile.com/responsibility/legal/terms-and-conditions), as explained below. Any particular Provider service may be offered by the Provider to its subscribers along with subscriptions to non-connectivity services. Mission Telecom’s offer of the same or substantially the same service excludes these non-connectivity services. The Provider’s Terms and Conditions apply to your Service to the extent they are not superseded by this Agreement. Generally, provisions in the Provider‘s Terms and Conditions that cover matters directly addressed by this Agreement, such as dispute resolution and financial terms, are not applicable to your Service. The extent to which any particular provision in those Provider Terms and Conditions may not apply to your service may not be readily apparent, as it depend upon the applicable facts and the Provider Terms and Conditions are changed by the Provider from time to time. Accordingly, and to assure a consistent application of these terms and conditions across the services we provide, you authorize our contractor Mission Telecom to determine on a reasonable basis which of such terms and conditions apply to the Service. Mission Telecom will make such determinations and we will report them to you promptly following your reasonable request for such determinations and Mission Telecom’s response. Such determinations will be posted on our website at www.missiontelecom.org/legal. In these TOCs we refer to those Provider Terms and Conditions that are applicable to the Service as the “Applicable Provider Terms and Conditions.” Customers must comply with the Applicable Provider Terms and Conditions at all times in their use of the Service.

5. The MC-AUP and the Applicable Provider Terms and Conditions are changed from time to time, often without notice, and those changes apply to the Service when made.
6. Further information on the Provider‘s broadband access services, including FCC-required information, can be found at https://www.t-mobile.com/responsibility/consumer-info/policies/internet-service, which (as it may change from time to time) and is incorporated in this Agreement by this reference (“Provider’s Open Internet Disclosures”). Provider’s Open Internet Disclosures apply generally to its broadband Internet access services, and are required by the FCC. Any particular Provider service may be offered by the Provider to its subscribers along with subscriptions to non-connectivity services. Mission Telecom’s offer of the same or substantially the same service excludes these non-connectivity services. The Provider has taken the position that the FCC requirement to make these disclosures does not apply to this Service. Accordingly, it is possible that the Provider’s Open Internet Disclosures may not accurately or completely reflect the Provider’s policies with respect to this Service and that the Provider may treat this Service differently than it treats other broadband Internet access services it offers.
7. CUSTOMER ACKNOWLEDGES THAT NEITHER RESELLER NOR MISSION TELECOM OWNS, OPERATES, MAINTAINS, OR CONTROLS THE SERVICE AND THAT NEITHER RESELLER NOR MISSION TELECOM HAS LIABILITY WITH REGARD TO ANY FAILURE OR LACK OF PERFORMANCE OF THE SERVICE. RATHER, THIS SERVICE IS PROVIDED THROUGH T-MOBILE CORPORATION OR ITS AFFILIATE (T-MOBILE). Reseller and Mission Telecom resell T-Mobile’s service and do not and cannot make changes to that service, while T-Mobile can and frequently does make changes to its service terms. For example, neither Reseller nor Mission Telecom controls congestion management, inhibits or favors certain applications or classes of applications, blocks or rate-controls protocols or protocol ports, inhibits or favors any particular applications, imposes user device rules (except as otherwise provided in this Agreement), or provides end-user security functionality. The Provider will use congestion management practices, may block or rate-control protocols or protocol ports, may impose practices that inhibit or favor particular applications, may impose user device rules, and may or may not provide end-user security functionality. THE SERVICE MAY BE SUBJECT TO USAGE LIMITS ESTABLISHED BY THE PROVIDER, WHICH ARE NOT CONTROLLED BY RESELLER OR MISSION TELECOM. THE CURRENT USAGE LIMITS ARE DESCRIBED ON EXHIBIT A (as well as on Mission Telecom’s “Broadband Facts” labels appearing on its website) AND MAY CHANGE FROM TIME TO TIME BY PROVIDER. RESELLER MAY NOT HAVE ADVANCED NOTICE OF ANY SUCH CHANGES AND, FOR THAT REASON, IT MAY NOT BE REASONABLY POSSIBLE FOR RESELLER WITH ITS LIMITED RESOURCES TO GIVE CUSTOMER ADVANCED NOTICE OF ANY SUCH CHANGES.
8. The Provider’s network management practices may entail the inspection and storage of Customer network traffic, the provision of Customer network traffic to third parties and/or the use of Customer network traffic for non-network management purposes. For further information, please refer to the Provider AUP (defined below) and Provider’s Open Internet Disclosures (defined below), which form a part of this Agreement. The Reseller, Mission Telecom and the Provider also have the right to take actions any of them deem reasonably necessary to protect any individual or entity, comply with applicable laws, regulations or government requests, or to enforce the terms of this Agreement.

IV. Representations and Warranties:
a. Customer represents and warrants that (i) it has the power and authority to agree to this TOS and form a legally binding contract, (ii) all information provided to Reseller or Mission Telecom will be accurate, complete, and current; and (iii) its use of the Service will comply with applicable laws, rules and regulations, the MT-AUP, and the terms of this TOS at all times in the use of the Service.
b. Customer represents and warrants that it is a Permitted User, and if Customer no longer meets the definition of Permitted User, Customer will notify Reseller and cease all access and use of the Service. “Permitted Users” means (a) any users, recipients or beneficiaries of the Reseller’s non-profit or social welfare programs or services, (b) any current employees or independent contractors of a non-profit or social welfare entity, or (c) any students, faculty, administrators and staff of a non-profit educational institution, in each of the foregoing cases, (i) only while such persons meet the requirements of at least one of (a)-(c), and (ii) regardless of whether the individual is aware of, saw, reviewed, or agreed to this TOS.

V. Disclaimer of Warranties; Waiver of Liability: EXCEPT AS EXPRESSLY SET FORTH HEREIN, MISSION TELECOM, ITS RELATED ENTITIES, AND ITS SUPPLIERS, MAKE NO WARRANTIES AND HEREBY DISCLAIM ALL WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED WITH REGARD TO THE SERVICE AND THE EQUIPMENT, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR USE, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE OR TRADE PRACTICE. YOUR USE OF THE SERVICE AND EQUIPMENT IS AT YOUR OWN RISK. THE SERVICE AND EQUIPMENT ARE AVAILABLE ON AN “AS IS” AND “AS AVAILABLE” BASIS EXCEPT AS EXPRESSLY PROVIDED HEREIN. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. YOU ACKNOWLEDGE THAT YOU HAVE NO CONTRACT WITH MISSION TELECOM AND AGREE THAT YOU WILL NOT HOLD MISSION TELECOM LIABLE OR RESPONSIBLE IN ANY MANNER FOR ANY ASPECT OF THE SERVICE, ANY FAILURE OF THE SERVICE OR ANY RESULTS OF USING THE SERVICE, OR SEEK DAMAGES OR RELIEF AGAINST MISSION TELECOM UNDER ANY THEORY OF RECOVERY, AND THAT MISSION TELECOM IS A DIRECT AND INTENDED THIRD PARTY BENEFICIARY OF THE AGREEMENT IN THIS SENTENCE.

VI. Content and Security:
Any material downloaded or otherwise obtained through use of the Services is accessed at your own discretion and risk. The Mission Telecom Parties do not control and are not responsible for any third party websites, content, services or products that Customer may access or encounter during use of the Service, and the Mission Telecom Parties reserve the right to engage in reasonable network management to protect the overall integrity of the Provider’s network, including detecting malicious traffic patterns and attempting to prevent the distribution of viruses or other malicious code, and through techniques such as reducing the aggregate bandwidth available to excessive bandwidth users during periods of congestion. While the determination of what constitutes excessive use depends on the specific state of the network at any given time, excessive use will be determined primarily by resource consumption. For further information, please refer to MT-AUP, which forms a part of these Terms. The Mission Telecom Parties also have the right to take actions they deem reasonably necessary to protect any individual or entity, comply with applicable laws, regulations, or government requests, or to enforce the terms of this TOS. Customers acknowledge that the Internet and wireless communications are not inherently secure means of data communication, the Mission Telecom Parties shall have no liability for breaches of security beyond their reasonable control, including, without limitation, Customer’s negligence with respect to controlling access to the Service or Customer’s data. It is the sole responsibility of Customer to obtain and implement appropriate security devices, software, and other measures (including without limitation firewalls) to protect Customer’s systems and data from viruses, worms, Trojan horses, or other security threats, and the Mission Telecom Parties have no responsibility or liability with regard thereto. The Provider may take measures to protect Customer’s security, or security of the network, as described in the Applicable Provider Terms and Conditions (defined above) and the Provider’s Open Internet Disclosures (defined above), but the decisions as to whether to deploy such measures as well as which measures to deploy (if any) are entirely outside of the control of Reseller and Mission Telecom and neither Reseller nor Mission Telecom shall have any liability with respect thereto.

VII. Service Quality and Maintenance: The speed and bandwidth available to Equipment accessing the Service may vary for a variety of reasons. Mission Telecom and the Provider reserve the right to engage in network management for the Service, including without limitation taking various measures to prevent or eliminate malicious traffic patterns and preventing the distribution of viruses or other malicious code. For further information on the types of activities the Provider may take, please refer to the AUP (defined below) and Provider’s Open Internet Disclosures (defined above). In addition, Provider may perform maintenance on the Service, which may include planned or unplanned interruptions of the Service. You acknowledge and agree that the Mission Telecom Parties will not be responsible for any losses or damages suffered by you as a result of any Service interruptions. You acknowledge that the Service is not available in all areas, and even within coverage areas service availability, quality, signal strength and network speeds may vary, be lower than advertised or be insufficient for use of the Service. No credit or adjustment will be made for interruptions or degradations of the Service except as agreed by Mission Telecom or as required by applicable law.

VIII. Support Services: All support services related to the Service and the Equipment (“Support Services”) will be provided by Reseller, Mission Telecom, or Provider. You may obtain support by calling or emailing Mission Telecom. Reseller, Mission Telecom or Provider may need to, and you agree that Reseller, Mission Telecom or the Provider may access your Equipment or other hardware and information stored on it (such as drivers, software, etc.) to troubleshoot issues related to the Equipment or the Service, enable, operate and update the Service and software; investigate activity that may be in violation of this TOS, and/or to comply with law. Defective Equipment should be returned to Provider as instructed by Mission Telecom or the Provider, and should under no circumstances be returned to Mission Telecom. Mission Telecom may require you to use a return label issued by the Provider, and if so, you must use such return label for the return of the defective Equipment. Requirements for modem and hardware compatibility with Provider's network are set forth on http://www.T-Mobile.com. Mission Telecom is not responsible for any failure of a user’s modem to function properly with the Service. In addition, you are responsible for ensuring that all of your hardware meets the minimum technical requirements posted on Provider's website located at http://www.T-Mobile.com. MISSION TELECOM AND ITS AFFILIATES ARE NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF THE PROVIDER, OR ANY OTHER THIRD PARTY, WITH REGARD TO THE SUPPORT SERVICES OR OTHERWISE, AND MISSION TELECOM DISCLAIMS ALL LIABILITY FOR THE SUPPORT SERVICES OR THE RESULTS THEREOF.

IX. Modification and Discontinuation of Service: The Mission Telecom Parties and the Provider reserve the right at any time to modify, edit, delete, suspend or discontinue, temporarily or permanently the Service, the Support Services or any Mission Telecom Party’s website (or any portion thereof) with or without notice. The Mission Telecom Parties will not be liable to you or to any third party for any such modification, editing, deletion, suspension or discontinuance of or to the Service. This Service is provided through the Provider. Mission Telecom resells the Provider‘s service and does not and cannot make changes to that service, while the Provider can and frequently does make changes to its service terms which have a direct effect on the service you receive.

X. Third Party Beneficiary. Reseller and Customer hereby agree that Mission Telecom shall be an express, intended third-party beneficiary of this Agreement and can enforce the terms and conditions to the same extent as Reseller.

XI. No Assignment: Customer’s rights under this TOS may not be transferred, leased, assigned, or sublicensed, including without limitation to any successor in interest, without the prior written consent of Reseller. Any purported attempt to transfer, lease, assign, or sublicense your rights without the consent of Reseller will be void, and Reseller may immediately terminate this TOS without liability. Notwithstanding the foregoing, all provisions of this TOS will be binding upon your successors and permitted assigns.
